We advice on a wide spread of projects that are procured, funded and implemented using Public-Private Partnership structures.
Our services are available to a variety of players such as project promoters, lenders, equity financiers, public sector participants, guarantors and operators.
We also provide practical legal advice on outsourcing transactions. We assist in the negotiation and preparation of a wide range of contracts in outsourcing projects including developing standardized agreements, training materials customized to clients’ strategic goals and managing the procurement processes. We also get involved with the development of in-house reporting methods for monitoring projects performance, as well as to support the full life cycle of outsourcing operations through contract processes, contract management and dispute resolution.
We have a databank of standardized agreements covering Request for Proposals, Confidentiality Agreements, Master Services Agreements, Service Level Agreements, PPP Agreements and Transaction Advisory Services Agreements. We provide industry insight in a wide variety of issues.We work with clients to develop fee estimates and performance measurement tools that will be used for monitoring and evaluating outcomes on outsourcing projects. We get involved in advising on project finance transactions involving Greenfield projects, franchising and concessions.
Our transaction advisory services experience includes:
- A P200 Million investment and housing loan guarantee agreement between a loan guarantee scheme and a commercial bank
- Advised and prepared a Master Service Agreement and Service Level Agreement on outsourcing of specialised professional services
- Currently involved with a P100 Million PPP project for the development of a social services facility
